You and the company you are representing (the "Client") who is purchasing a print copy or a non-exclusive, Rights-Managed License and downloading the digital copy of the copyrighted photograph(s) ("the Work") taken and owned by Robert Wojtowicz ("the Photographer") may not use the Work in any unlawful way. Client licensing and downloading the digital copy of the Work may only use the Work as described in the Rights-Managed License Terms. Client is responsible for obtaining and securing all necessary permissions and model or property release(s) if any are required for Client's intended image use. No releases are furnished by the Photographer. Client agrees to indemnify and defend the Photographer against all claims, liability, damages, costs and expenses, including but not limited to all legal fees and expenses arising out of any use of any Work for which no release was furnished by the Photographer or use of any Work which is altered. Client assumes a full liability to indemnify the Photographer for loss, damage or any use or misuse of the Work. Client also assumes full liability for his/her/its principals, employees, agents, contractors, affiliates, successors and assigns, for any loss, damage, use or misuse of the Work. Photographer retains all rights in the Work and any derivative work, including without limitation, the right to use, copy, sell, license, and distribute the Work in all markets and territories. In consideration for the grant of the non-exclusive Rights-Managed license, Client agrees to pay the Photographer the amount specified, due and payable immediately prior to downloading a digital copy of the Work. Client purchasing a print or any other non-digital copy of the Work that is shipped internationally, is responsible for all customs duties whenever these are applicable. This agreement constitutes the entire agreement between the Client and the Photographer and supersedes all other correspondence or agreements (whether written or oral) between the two parties. This Agreement shall be construed and enforced in accordance with the laws designated by the Photographer, now or in the future.
